Welcome to Jacaranda Ltd. These Terms of Service ("Terms") govern your access to and use of our website, products, and services, including AI Assistants, AI Agents, and AI Literacy Workshops (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access our Services.
"Company" (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Jacaranda Ltd., located in Cluj-Napoca, Romania.
"Service" refers to the Company's AI solutions, including AI Assistants for information navigation, AI Agents for process automation, and AI Literacy Workshops for organizational training.
"You" means the individual or organization accessing or using the Service.
"Content" refers to any data, information, text, graphics, images, or other materials that may be accessed through the Service.

We reserve the right to modify, suspend, or discontinue any or all aspects of our Services at any time without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Jacaranda Ltd. and its licensors. The Service is protected by copyright, trademark, and other laws of both Romania and the European Union. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Jacaranda Ltd.
Any AI models, algorithms, or software provided as part of our Services remain the property of Jacaranda Ltd. You are granted a limited, non-exclusive, non-transferable license to use these tools solely for the purposes outlined in your service agreement.
Our Services may allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material. You retain any and all of your rights to any Content you submit, post or display on or through the Service and you are responsible for protecting those rights.
By submitting content to our AI systems, you grant us a license to use, store, and process this content solely for the purpose of providing and improving our Services. This may include training our AI systems, provided that any such training complies with applicable data protection laws.
You represent and warrant that: (i) the Content is yours or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.
You agree not to use the Service:
We strive to provide a reliable service but cannot guarantee that our Services will be available at all times. We may experience hardware, software, or other problems, or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors.
We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Service at any time without notice. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Service during any downtime or discontinuance of the Service.
Technical support for our Services is provided according to the specific service level agreements (SLAs) established in your contract or subscription plan.
We implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk associated with the processing of your data. However, you acknowledge that no method of transmission over the internet or method of electronic storage is 100% secure.
For AI solutions deployed on your premises or infrastructure, you are responsible for maintaining the security of your systems. We will provide guidelines for secure implementation and operation but cannot be held responsible for security breaches resulting from inadequate security measures on your side.

Certain aspects of the Service may be provided for a fee. You will be required to select a payment plan and provide accurate billing information. By submitting such payment information, you automatically authorize us to charge all fees incurred through your account to any such payment instruments.
For subscription-based services, you will be billed in advance on a recurring and periodic basis. Billing cycles are typically monthly or annual, depending on the type of subscription plan you select.
All payments shall be made in Euro (€) unless otherwise specified. Prices stated are exclusive of any applicable taxes unless otherwise noted.
AI Outputs: You acknowledge that AI systems may produce outputs that are imperfect, inaccurate, or inappropriate in certain contexts. While we strive to minimize such occurrences, Jacaranda Ltd. cannot guarantee that all AI-generated content will be error-free or suitable for all purposes.
Human Oversight: Our AI solutions are designed to assist and augment human work, not replace human judgment. You agree to implement appropriate human oversight of AI outputs, especially in applications where errors could have significant consequences.
Model Training: Where applicable and with your explicit permission, we may use anonymized data from your use of our Services to improve our AI models. This process is conducted in compliance with data protection regulations.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Company expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any errors in the Service will be corrected. This includes, but is not limited to, any errors or inaccuracies in AI-generated content or recommendations.
To the maximum extent permitted by applicable law, in no event shall the Company, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
In any case, our entire liability under any provision of these Terms shall not exceed the amount actually paid by you for the Services during the 12 months preceding the event giving rise to the liability.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed and construed in accordance with the laws of Romania, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
It is your responsibility to review these Terms periodically for changes. We will provide notice of material changes to the Terms by posting a notice on our website.
